Specific board roles and their functions

President (Presidente)

  • Direct and legally represent the association by delegation of the General Assembly and the Board of Directors.
  • Preside over and direct the debates of both the General Assembly and the Board of Directors.
  • Issue a decision-making vote in cases of a tie.
  • Establish the call for meetings of the General Assembly and the Board of Directors.
  • Endorse the minutes and certificates prepared by the secretary of the association.

Vice President (Vicepresidenta)

The vice president will replace the President in their absence, due to illness or any other cause, and will have the same powers as them. If needed, the vice president will also support the president in any of the responsibilities that are part of the president role.

General secretary (Secretario General)

The secretary has to keep the documentation of the association, prepare, write and sign the minutes of the meetings of the General Assembly and the Board of Directors, write and authorise the certificates that must be delivered, and also keep the membership record book.

Treasurer (Tesorero)

The treasurer's function is the custody and control of the association's resources, as well as the preparation of the budget, the balance sheet and the settlement of accounts. They carry a cash book. They sign dues receipts and other treasury documents. They pay the invoices approved by the Board of Directors, which must be previously approved by the president, and deposit what is left over in open deposits in credit or savings establishments.
